Medical Courier Services Agreement

This agreement template is intended as a practical business framework for pharmacy, clinic, and health-related courier work. It should be reviewed by the Client and, where appropriate, by a qualified legal, pharmacy, privacy, or compliance professional before signing.

1. Purpose of Agreement

The purpose of this Agreement is to establish the terms under which RezSolution Services may provide courier and delivery services for pharmacies, clinics, medical offices, health service providers, and related organizations. This Agreement supports safe, professional, confidential, traceable, and auditable delivery practices for medical, pharmacy, and health-related deliveries. RezSolution Services is a courier and delivery service provider — not a pharmacy, clinic, medical provider, prescriber, health care professional, or regulated health professional. RezSolution Services does not provide medical advice, pharmacy advice, medication counselling, clinical assessment, or health care services.

2. Services Covered

RezSolution Services may provide the following services: prescription delivery; pharmacy package delivery; medical document delivery; clinic-to-patient delivery; patient-to-clinic return delivery where approved; medical supply delivery; non-hazardous health-related item delivery; business-to-business courier delivery between authorized health or pharmacy locations; same-day or scheduled delivery services; and other courier services agreed to in writing by the Parties. RezSolution Services will only deliver items that it is authorized and properly prepared to transport.

3. Services Not Automatically Included

The following items are not automatically included and require written approval and confirmation that RezSolution Services has the appropriate training, insurance, equipment, and authorization: controlled substances or narcotics; cannabis or cannabis-related medical products; lab specimens; blood, urine, swabs, tissue, or biological samples; biohazardous materials; sharps or used medical devices; oxygen tanks, compressed gases, or pressurized cylinders; temperature-critical medication requiring active monitoring; dry ice or dangerous goods; hazardous materials; items requiring Transportation of Dangerous Goods compliance; and items requiring clinical assessment, witnessed ingestion, counselling, or health professional involvement. RezSolution Services may refuse any delivery that it reasonably believes cannot be completed safely, legally, securely, or confidentially.

4. Relationship of the Parties

RezSolution Services is an independent courier service provider. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or health care provider relationship. Where RezSolution Services handles personal health information or confidential information on behalf of the Client, RezSolution Services will act only within the limits of the Client's instructions and this Agreement. The Client remains responsible for its own professional, legal, regulatory, privacy, pharmacy, and clinical obligations.

5. Client Responsibilities

The Client is responsible for: ensuring all items given to RezSolution Services are legally permitted to be delivered by a third-party courier; properly preparing, sealing, packaging, and labelling all delivery items; ensuring required prescription, pharmacy, clinical, or patient counselling obligations have been completed before delivery; providing clear written delivery instructions; identifying special handling requirements before the item is accepted; identifying whether a signature, ID check, recipient name, PIN, or other proof of delivery is required; informing RezSolution Services if an item cannot be left unattended; providing correct recipient name, address, phone number, and delivery instructions; ensuring recipient consent or authorization has been obtained where required; and providing any client-specific privacy, safety, delivery, or incident-reporting procedures.

6. Courier Responsibilities

RezSolution Services is responsible for: handling deliveries professionally, confidentially, and with reasonable care; keeping items sealed and secure during transport; following the Client's written delivery instructions; keeping delivery information private and confidential; using information only for delivery-related purposes; maintaining traceable and auditable delivery practices where required; obtaining proof of delivery when required; reporting failed, delayed, lost, stolen, damaged, or misdelivered items to the Client as soon as reasonably possible; returning undeliverable items according to the Client's instructions; and refusing deliveries that appear unsafe, unlawful, improperly packaged, or outside the scope of this Agreement.

7. Confidentiality

RezSolution Services must keep all Client, patient, recipient, pharmacy, clinic, medical, business, and delivery information confidential. Confidential information includes patient or customer names, addresses, phone numbers, prescription or medication information visible on labels or documents, medical office or clinic information, delivery instructions, business records, payment or billing information, delivery records, and any information that could identify a patient, customer, recipient, or client. Confidentiality obligations continue after a delivery is completed and after this Agreement ends.

8. Privacy and Personal Health Information

RezSolution Services agrees to handle personal information and personal health information only as necessary to perform delivery services under this Agreement. This includes collecting, using, disclosing, retaining, and disposing of personal information only as necessary for authorized delivery purposes; following the Client's reasonable privacy instructions; limiting access to delivery information to those who need it; using reasonable safeguards to protect delivery information; notifying the Client of suspected or confirmed privacy breaches as soon as reasonably possible; and avoiding collecting unnecessary health or personal information.

9. Delivery Procedure

RezSolution Services will make reasonable efforts to deliver items directly, promptly, securely, and according to the Client's instructions. This includes delivering to the named recipient or authorized agent where required; avoiding unnecessary stops or delays for confidential, medical, or pharmacy deliveries; keeping packages secure and out of public view during transport; avoiding leaving items unattended unless the Client has expressly allowed it; using reasonable discretion when communicating with recipients; and following Client procedures for recipient unavailable, wrong address, refusal, no answer, or unsafe delivery conditions.

10. Proof of Delivery

The Client must identify what proof of delivery is required for each delivery type. Proof of delivery may include recipient name, signature, date and time, delivery status, delivery location, driver notes, PIN/code, or photo confirmation where appropriate. Photos must avoid capturing personal health information, prescription labels, addresses, private homes, children, bystanders, or sensitive details unless expressly required and authorized by the Client.

11. Incident Reporting

RezSolution Services will notify the Client as soon as reasonably possible if an item is lost, stolen, damaged, delayed, misdelivered, refused, exposed, tampered with, subject to a privacy concern, or involved in a safety issue. RezSolution Services will document known incident details including date, time, delivery identifier, recipient or location involved, summary of issue, steps taken, and outcome.

12. Fees, Billing, and Payment

Delivery fees, mileage rates, wait-time fees, redelivery fees, rush fees, after-hours fees, account billing terms, and payment timing will be set out in a separate rate sheet, written quote, invoice, or schedule approved by the Parties. Unless otherwise agreed in writing, fees are payable upon invoice.

13. Term and Termination

This Agreement begins on the Effective Date and continues until terminated by either Party with written notice. Either Party may suspend or terminate services immediately if there is a serious privacy concern, safety concern, unpaid account issue, illegal instruction, repeated delivery problem, breach of confidentiality, or request outside the agreed service scope.
